YERYL Market company agreement

1. Parties and activation

This agreement is between YERYL Sweden Import & Export AB, company registration number 559158-5129, and the company identified in the registration. The signatory confirms that they are authorized to represent the company. Registration becomes active only after YERYL has verified and approved the company.

2. Business service

YERYL Market is intended for business-to-business trade. The company is responsible for accurate and current company, contact, tax and delivery information. Consumer trading is not included in the pilot.

3. Seller responsibilities

Each seller sells in its own name and is responsible for the right to sell the goods, quality, available quantity, origin, traceability, certificates, product information, food requirements, tax, invoicing, delivery and claims. YERYL may suspend listings or accounts in the event of incorrect information, a security risk or a breach of the agreement.

4. Orders and delivery

An order request is not a binding purchase. The seller provides a quotation specifying price, freight, VAT, delivery date and delivery terms. During the pilot, an accepted quotation is also a provisional reservation until the parties have fulfilled the stated contractual and payment conditions. Goods must not be dispatched on the basis of a payment that the payment partner has not verified.

5. Buyer and seller fees

The buyer pays a service fee of 3% and the external seller pays a marketplace fee of 3%. Both fees are calculated on the goods value after discounts on goods, excluding VAT and separately stated freight. The buyer’s fee is added to the buyer’s total; the seller’s fee is deducted from the seller’s proceeds. The order shows the goods value, fees, freight, VAT and total before payment. VAT on fees, where applicable, is shown separately. YERYL’s own sales are not subject to an external seller fee. YERYL bears Stripe payment-processing and Connect fees; these are not charged as an additional fee to the buyer or seller. No fee is charged automatically before payments are commercially activated.

6. Payments

Stripe Connect is the payment route for the limited live pilot; Swish Handel is planned separately. Live payments are available only after YERYL has enabled the approved flow and verified the parties. Stripe receives the payment on YERYL’s platform account. The seller’s share is transferred to its connected Stripe account after accepted delivery and review of any claims. Bank payout then follows the seller’s Stripe settings. No particular bank arrival date is guaranteed, and funds are not automatically released merely because one or two weeks have passed. This is not an escrow account. Payments and payouts may be considered completed only after verified confirmation from the activated payment partner. Card numbers, BankID codes and banking passwords must never be entered in YERYL’s free-text fields.

For full or partial refunds, YERYL normally retains both fees. Refunds concern goods, VAT and freight and cannot exceed the remaining refundable amount. If the seller’s remaining proceeds do not cover its fee, the remainder is recorded as a receivable handled separately; this does not authorize automatic debits from the seller’s bank account. Mandatory law and specific written agreements prevail over this rule. YERYL handles such exceptions before a refund. Both parties must also accept the applicable live-order addendum before live payment.

7. Personal data and signature evidence

YERYL processes account, contact, order and security information to administer and protect the service. Signature evidence includes the agreement version, the document checksum, the signatory’s name, title and email address, the server timestamp and technical information about the browser and network address. Access is limited to authorized administration, and the information is retained for as long as needed for contracts, legal obligations or disputes. Rights and contact details are described in the pilot terms.

8. Rights and confidentiality

The company retains the rights to its own material but grants YERYL permission to display submitted product and company information to operate the marketplace. Neither party may use the other’s trademark outside the service without permission. Confidential business information must be protected and used only for the intended transaction.

9. Duration and termination

The agreement applies from YERYL’s approval and continues for the duration of the pilot until terminated. Either party may terminate future use in writing. Ongoing orders, payments, claims and obligations that by their nature continue must be completed. YERYL may suspend the service immediately in the event of a security risk, suspected fraud or a material breach of the agreement.

10. Governing law and signature

Swedish law is proposed to apply, and disputes are proposed to be decided by the Swedish general courts, with Stockholm District Court as the first instance, unless mandatory rules provide otherwise. By entering their name and title and actively selecting the signature checkbox, the representative expresses their intention to accept this English company agreement on behalf of the company. This is a simple electronic signature, not a BankID-based advanced or qualified electronic signature. YERYL may require stronger identification or separate signing for certain transactions.

Legal status

This pilot agreement should be reviewed by a Swedish lawyer before broad commercial launch and does not replace product-specific order, transport or payment terms.

11. Language, version and earlier agreements

This English document is company-v3-en, dated 30 September 2026. Acceptance is recorded against this document’s version and SHA-256 checksum. For new transactions governed by this version, section 5 replaces the earlier pilot-2 commission clause. It does not retrospectively change previously paid orders or their terms. Earlier signed documents and signature records remain preserved. This document does not itself enable live payments or replace required company verification and order-specific acceptance.
